Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the public website operated by Medulla AI Security Research Institute (“Medulla Institute,” “we,” “us,” or “our”) located in Silicon Valley, California, United States (the “Site”). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

We may offer additional programs (for example, coordinated security disclosure, grants, or open-source projects). Where separate terms or policies apply, they control for those programs and supplement these Terms only to the extent described there.

1. Eligibility and acceptable use

The Site is intended for adults. By using it, you represent that you are at least 18 years old (or the age of majority where you live) and have the power to enter into these Terms.

You agree not to:

  • Use the Site in violation of applicable law or third-party rights.
  • Attempt to gain unauthorized access to our systems, accounts, or networks, or to third-party systems.
  • Interfere with or disrupt the Site (for example, by introducing malware, overloading infrastructure, or bypassing measures we use to restrict access).
  • Scrape or harvest the Site in a way that impairs our operations or violates our robots.txt or technical restrictions we publish.
  • Use the Site to harass, threaten, or harm others, or to distribute unlawful or infringing content.

We may investigate and work with law enforcement regarding suspected abuse. Security research should follow applicable law and any disclosure guidelines we publish—nothing on the Site authorizes testing against our systems without permission.

2. Informational content; not professional advice

Materials on the Site are for general information about our mission, research directions, and programs. They are not legal, security, investment, medical, or other professional advice. You are solely responsible for decisions you make based on the Site. Consult qualified professionals before acting on complex compliance or security questions.

Publications, previews, and roadmaps may describe planned or preliminary work. Unless we state otherwise, do not assume a particular result, publication date, or product release.

3. Intellectual property

The Site and its content (including text, graphics, logos, layout, and compilations) are owned by Medulla Institute or our licensors and are protected by U.S. and international intellectual property laws, except as noted.

Subject to these Terms, you may view and download reasonable portions of the Site for personal, non-commercial use. You may not copy, modify, distribute, publicly display, create derivative works from, or reverse-engineer the Site or its content except where allowed by law or under open-source licenses that apply to components we explicitly offer under those licenses (for example, repositories we link to on third-party platforms).

Trademarks and service marks on the Site are our property unless attributed to others. No license to use our marks is granted except by explicit written permission.

4. Open source and third-party materials

We may link to or describe software made available under open-source or other public licenses. Those materials are governed solely by their respective licenses. Third-party sites, package registries, and repositories have their own terms; your use of them is at your risk.

5. User feedback

If you submit ideas, feedback, or suggestions about the Site or our programs, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, disclose, and incorporate that feedback for any purpose without obligation to you, except where prohibited by law.

6. Privacy

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

7. Disclaimer of warranties

THE SITE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MEDULLA INSTITUTE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

Some jurisdictions do not allow certain disclaimers; in those jurisdictions, our disclaimers apply to the fullest extent permitted.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL MEDULLA INSTITUTE OR OUR DIRECTORS, OFFICERS, EMPLOYEES, VOLUNTEERS, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US $100) OR (B) THE AMOUNT YOU PAID US (IF ANY) FOR ACCESS TO THE SITE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM—WHICH IS TYPICALLY ZERO FOR PUBLIC, FREE ACCESS.

These limitations do not apply where prohibited by law, including certain rights that California consumers may have for claims that cannot be waived by contract.

9. Indemnity

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Medulla Institute and our directors, officers, employees, volunteers, contractors, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of your use of the Site, your violation of these Terms, or your violation of third-party rights.

10. Changes to the Site or Terms

We may modify the Site or these Terms at any time. We will post updated Terms here and revise the “Last updated” date. Material changes may be highlighted on the Site where reasonable. Continued use after changes become effective constitutes acceptance; if you disagree, stop using the Site.

11. Termination

We may suspend or terminate access to the Site, with or without notice, for conduct we reasonably believe violates these Terms or poses risk to the Site, our community, or third parties.

12. Governing law and venue

These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law principles that would require application of another jurisdiction's laws. Subject to applicable law and mandatory jurisdiction rules, you and Medulla Institute agree that the state and federal courts located in Santa Clara County, California will have exclusive jurisdiction over any dispute arising out of or relating to the Site or these Terms, and you consent to personal jurisdiction there.

13. General

These Terms, together with the Privacy Policy and any additional terms we publish for specific programs, constitute the entire agreement between you and us regarding the Site. If any provision is held invalid, the remainder remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization or change of control.

California users: If you are a consumer, you may have additional rights under California law that cannot be waived by contract to the extent such waivers are unenforceable.
